These Terms of Service ("Terms") govern your access to and use of Remedi, a healthcare operational intelligence platform operated by Remedi Health, Inc. ("Remedi Health," "we," "our," or "us"). By accessing or using Remedi, you agree to be bound by these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

You retain all rights to your clinical documentation and data. You grant Remedi Health a limited license to process your data solely for the purpose of providing Remedi's compliance intelligence services. We do not claim ownership of your data and will not use it for purposes beyond providing the contracted services.

5. AI-Generated Content

Remedi's compliance findings, severity assessments, and remediation recommendations are generated by artificial intelligence and are provided for informational purposes. They do not constitute legal, medical, or regulatory advice. You are responsible for independently verifying findings and making your own compliance decisions.

While we strive for accuracy, AI-generated analysis may contain errors or omissions. Remedi is a tool to augment — not replace — your compliance team's professional judgment.

6. HIPAA and Compliance

For customers who are covered entities or business associates under HIPAA, Remedi Health will enter into a Business Associate Agreement (BAA) prior to processing any Protected Health Information (PHI). Our obligations regarding PHI are governed by the BAA and applicable law.

We strive to maintain high availability but do not guarantee uninterrupted access. We may temporarily suspend access for maintenance, updates, or security reasons. We will provide reasonable advance notice of planned maintenance when possible.

Pricing is established through individual service agreements. We will provide at least 30 days' notice of any pricing changes. You are responsible for timely payment of all fees associated with your subscription.

9. Limitation of Liability

To the maximum extent permitted by law, Remedi Health shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of Remedi. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold Remedi Health harmless from any claims, damages, or expenses arising from your use of Remedi, your violation of these Terms, or your violation of any third-party rights.

11. Termination

Either party may terminate the service agreement with 30 days' written notice. We may immediately suspend access if we believe you are violating these Terms or applicable law. Upon termination, we will provide a reasonable period to export your data.

12. Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict of laws provisions.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes at least 30 days before they take effect. Your continued use of Remedi after changes take effect constitutes acceptance of the modified Terms.
